Welcome to RAMPonline.com (the "Platform"). The Platform is owned and operated by RAMP Online, LLC a Delaware Limited Liability Company ("Company"). By accessing or using the Platform, you ("User") agree to be bound by these Terms of Use (the "Terms") and our Privacy Policy. If User does not agree, User may not use the Platform.

1. Services

The Platform provides an online marketplace for listing, promoting, and facilitating the purchase and sale of renewable energy projects, including but not limited to solar projects, wind projects, BESS projects, data center projects hydroelectric projects, geothermal projects, raw land and associated assets ("Project(s)"). We do not take ownership of any Project and are not a party to transactions between buyers and sellers.

2. Commission and Payment Terms

By listing, promoting, inquiring about, negotiating, or concluding any transaction for a Project through the Platform, or as a result of an introduction, lead, or referral from the Platform:

  1. Obligation to Pay

    User agrees to pay Company a commission equal to 1-7% (see 2.1A) of the total transaction value for any sale, transfer, or lease of a Project that is initiated, negotiated, or completed through the Platform, regardless of whether the final transaction is concluded online or offline.

    1. Commission payout as follows:
      • Total transaction value - $0.00 - $1,000,000.00 = 7% commission
      • Total transaction value - $1,000,000.01 - $10,000,000.00 = 5% commission
      • Total transaction value - $10,000,000.01 - $50,000,000.00 = 3% commission
      • Total transaction value - $50,000,000.01 - $100,000,000.00 = 2% commission
      • Total transaction value - $100,000,000.01 or greater = 1% commission
  2. Triggering Events

    The commission is deemed earned upon the execution of a binding purchase, sale, transfer, or lease agreement between User and another party introduced via the Platform and/or any project that was learned of via the Platform and is payable within 30 days of the closing date.

  3. Reporting Requirement

    User must provide written notice to Company within 7 days of signing any transaction agreement originated through the Platform, including full transaction details for commission calculation.

  4. Non-Circumvention

    User may not circumvent or attempt to circumvent Company's role in any transaction. Closing a deal originated through the Platform without paying the commission is a material breach of these Terms. User remains obligated to pay the full commission, plus any applicable interest, legal fees, and costs of enforcement.

  6. Failure to comply will entitle Company to all legal and equitable remedies, including injunctions, damages, and recovery of commission, interest, and reasonable attorney's fees.

3. Licensing Notice

Certain jurisdictions require a brokerage or intermediary license to arrange transactions involving Projects or related real property assets. Company operates in compliance with applicable laws, but User's use of the Platform does not imply that Company acts as User's agent, broker, or fiduciary unless expressly agreed in a separate written agreement.

4. Disclaimer of Warranties

All information provided on the Platform is for general informational purposes only. We do not verify the accuracy of listing content, and we make no warranties or representations regarding any Project or any party. Users are solely responsible for conducting their own due diligence prior to entering into any transaction.

5. Limitation of Liability

To the maximum extent permitted by law, Company shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of the Platform or participation in any transaction.

6. No Agency Relationship

Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between Company and any User, except as expressly stated in writing.

7. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Delaware without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in Lincoln, Nebraska, USA, unless we elect to seek judicial remedies for enforcement of commission claims.

8. Amendments

We may amend these Terms from time to time. Continued use of the Platform constitutes acceptance of the updated Terms.

By checking the acceptance box or otherwise using the Platform, User acknowledges that User has read, understood, and accepted these Terms, including User's obligation to pay commissions where applicable.
